Richard De Stefano will be pleased to accept new clients who are actively engaged in business,
or who are starting up new businesses, or who are investors considering an investment in a new
or existing business, in the following industries: arts and entertainment, media,
communications, information technologies, real estate (excluding construction), health care,
and hospitality. We concentrate in those specific industries in order to build expertise
and expand contacts within the industries. Mr. De Stefano serves as general counsel to
small businesses and non-profit organizations for whom it is not practical to have in-house
attorneys or business development executives. He works with owners and senior managers
on "core function" matters directed toward increasing the value, efficiency, and
profitability of the business, and facilitating eventual sale, merger, or disposition to family
members. Matters outside of the core function of the business are often referred to
other attorneys.
Mr. De Stefano is currently active, or has recently completed matters, on behalf of the
following types of businesses: artists, art galleries, film, television, and music
production companies, musicians, radio station operators, software developers, internet
physician search venture, internet vocal coaching venture, real estate developers,
title company, mortgage brokers, physicians, medical clinics, restaurants, bars, nightclubs,
real estate syndicates investing in apartments and office buildings, surgical laser company,
recording studios, and a new record company.
Mr. De Stefano has more than 28 years of experience in: organizing new corporations,
partnerships, and limited liability companies; buying, selling, and merging businesses;
obtaining financing through investor offerings, loans, and grants; purchasing or leasing of
real estate facilities and equipment; labor and employment matters; pension and retirement
planning; succession planning; tax planning and tax controversies; protection of intellectual
property, including copyrights, trademarks, and trade secrets; selection and liaison with
specialty attorneys for patent, Food and Drug Administration, Federal Communications Commission,
litigation, and bankruptcy matters; and planning and evaluation of insurance coverage matters.
